Terms & Conditions

These Terms and Conditions ("Agreement") are a binding contract between you ("Client") and Slate Systems Inc ("Company," "we"), a Wyoming corporation. By subscribing, submitting payment, or using our platform, you agree to this Agreement.

Effective Date: January 1, 2026

1. Services Provided

Slate Systems provides automated business systems for contractors, including:

  • A professionally built website hosted on the Slate Systems platform
  • Business phone number with missed-call text-back
  • CRM access (web and mobile)
  • Automated follow-up and remarketing sequences
  • Google review collection and management (including private feedback routing)
  • A2P 10DLC registration and compliant messaging
  • Google Business Profile setup
  • Onboarding support and training

Our review system includes private feedback routing. Customers who rate their experience 1 to 3 stars are offered a private feedback form so the business can resolve concerns directly. Customers who rate 4 to 5 stars are directed to leave a public review on Google Business Profile. The system never suppresses, blocks, or conditions access to public review platforms. All customers retain the ability to leave a public review at any time.

2. Billing

Our standard plan is $297/month, billed in advance via Stripe. Includes: website, platform access, phone number, CRM, automations, remarketing, and review tools. All subscriptions are month-to-month and auto-renew until canceled.

Your rate is locked for 12 months from enrollment. After that, pricing changes require 30 days' written notice.

Usage-based charges also apply for communications sent through the platform:

  • Phone Numbers: Local $1.15/mo | Toll-Free $2.15/mo
  • SMS: $0.0079/segment | MMS: $0.02 out / $0.01 to $0.02 in
  • Voice: $0.0180/min out | $0.0085 to $0.0220/min in
  • Number Intelligence: $0.005 to $0.01 per function

You maintain a digital wallet for usage charges with automatic top-ups. If a payment fails, we retry up to 4 times over three weeks. Accounts may be suspended after 48 hours of non-payment. Trials and promotions do not modify these terms.

3. SMS Messaging Terms and Compliance

1. Program Description

This messaging program sends onboarding updates, appointment confirmations, service communications, product updates, tips, promotional offers, and customer support messages to clients who have subscribed to Slate Systems through our website at slatesystems.io and have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms with dedicated consent checkboxes for non-marketing and marketing messages.

2. Cancellation Instructions

You can cancel the SMS service at any time. Simply text "STOP" to the same number that sent you messages. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

3. Support Information

4. Carrier Liability

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier.

5. Message and Data Rates

Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your service usage and account activity. Consent to receive SMS messages is not a condition of purchase. For questions about your text plan or data plan, contact your wireless provider.

6. Supported Carriers

Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, and most regional carriers.

7. Age Restriction

You must be 18 years or older to participate in our SMS program.

All messaging requires prior consent from the recipient. We handle: A2P 10DLC brand/campaign registration, compliant opt-in/opt-out mechanisms, and TCPA-compliant infrastructure. You handle: Ensuring contact consent is documented, never importing purchased or scraped lists, honoring opt-outs from outside the platform, and keeping your business information accurate.

We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications. Your use of messaging services is also governed by our Privacy Policy.

4. Intellectual Property

All websites, templates, automations, workflows, and platform customizations built by Slate Systems remain our exclusive property. You receive a non-exclusive, revocable license to use them while your subscription is active.

Content you provide (logos, photos, descriptions) remains yours. We use it only to deliver your services. Websites are hosted on our platform and cannot be exported or transferred. Upon cancellation, all access is revoked.

5. Client Data

Your business data (contacts, leads, conversations, reviews) belongs to you. We act as a service provider, not an owner.

  • Export your data anytime through the platform.
  • After cancellation, data is kept for 30 days for export, then permanently deleted.
  • We will never sell or share your individual customer data with third parties.
  • We may use anonymized, aggregated data (with no personally identifiable information) to improve our platform and services. This data cannot be traced back to you or your customers.

6. Payments and Refunds

All payments are final and non-refundable, including subscription fees and usage charges. Our services involve custom-built assets initiated immediately upon enrollment.

You agree not to initiate chargebacks for services rendered. If a fraudulent chargeback is filed, we reserve the right to pursue recovery of the disputed amount plus legal and administrative fees.

7. Cancellation

Cancel anytime. Takes effect at the end of the current billing cycle. No cancellation fees. Upon cancellation:

  • Platform, website, and automation access is terminated.
  • Data is available for export for 30 days, then deleted.
  • Your phone number can be ported on request. If not ported within 30 days, it may be released.
  • No partial refunds for unused time.

8. Acceptable Use and Termination

Use the platform only for lawful business purposes. Prohibited uses include:

  • Sending offensive, threatening, harassing, or illegal messages
  • Using the platform for prohibited industries (cannabis, firearms, adult content, gambling, payday lending, regulated debt collection)
  • Importing contacts without consent
  • Misrepresenting your business
  • Attempting to reverse-engineer the platform

We may suspend or terminate any account, with or without notice, for violations, abusive conduct toward staff, non-compliance with messaging regulations, repeated payment failures, or any activity posing legal or operational risk. No refund is issued for policy-violation terminations.

You must be at least 18 years of age to use our services or enter into this Agreement.

9. Disclaimers and Liability

No guaranteed results. We provide automation tools, not business outcomes. Results depend on your industry, location, responsiveness, and market conditions.

All services are provided "as-is" without warranty of any kind. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted service or message delivery.

Our services rely on third-party platforms (telephony, carriers, Stripe, Google, cloud hosting) that we do not control. We are not liable for their outages or changes. If a third-party platform we depend on discontinues service, materially changes its terms, or becomes unavailable, Slate Systems reserves the right to modify, suspend, or transition services to an equivalent platform without liability. We will provide reasonable notice and make commercially reasonable efforts to minimize disruption, but are not obligated to maintain any specific third-party integration.

To the maximum extent permitted by law, Slate Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid in the three (3) months before the claim. We are not liable for failures caused by events beyond our reasonable control (natural disasters, pandemics, cyberattacks, carrier outages).

10. Indemnification

You agree to indemnify and hold harmless Slate Systems Inc from any claims, damages, losses, or expenses (including attorney's fees) arising from: your use of the platform, TCPA/messaging law violations from contacts you introduced, content sent through the platform, violations of this Agreement, or misrepresentation of your business.

11. Disputes and Governing Law

Disputes must first be raised at [email protected] for informal resolution. If unresolved within 30 days, disputes go to binding arbitration through the American Arbitration Association (AAA) in the State of Wyoming. The arbitrator's decision is final. Either party may use small claims court in Wyoming for qualifying claims.

All disputes are resolved on an individual basis only. You waive any right to class action lawsuits, class arbitration, or representative proceedings.

This Agreement is governed by Wyoming law. Any legal proceedings not subject to arbitration shall be brought in Wyoming courts.

12. Changes to Terms

We may modify these terms, service features, or pricing at any time with at least 30 days' notice (subject to the 12-month price lock). Continued use after changes constitutes acceptance. You may cancel if you disagree.

13. General Provisions

  • Entire Agreement: This Agreement, our Privacy Policy, and Referral Program Terms (if applicable) constitute the entire agreement. No verbal promises from sales calls or demos are binding unless written here.
  • Severability: If any provision is found unenforceable, the rest remains in effect.
  • Assignment: You may not transfer your subscription without our written consent. We may assign our rights without restriction.
  • Notices: Official notices are sent to your account email. Keep it current.
  • Electronic Acceptance: Clicking "I agree," checking a consent box, or submitting payment constitutes a valid electronic signature under the E-SIGN Act.
  • Survival: Sections 4 to 6, 9 to 11, and this section survive termination of this Agreement.

14. Service Delivery

Services are considered delivered when your website is built, your platform and automations are set up, and onboarding support has been provided.
