These Terms and Conditions ("Agreement") are a binding contract between you ("Client") and Slate Systems Inc ("Company," "we"), a Wyoming corporation. By subscribing, submitting payment, or using our platform, you agree to this Agreement.

Our review system sends every customer a direct link to your public Google Business Profile review page, regardless of star rating. The system uses AI to respond to every published review (1 through 5 stars) automatically with tone matched to the rating. When a 1, 2, or 3 star review publishes, you receive a text alert so you can contact the customer directly to address their concerns offline. The system never suppresses, blocks, or conditions access to public review platforms. All customers retain the ability to leave a public review at any time. This posture complies with the Federal Trade Commission's Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465) and CTIA guidelines.
Our standard plan is $297/month, billed in advance via Stripe. Includes: website, platform access, phone number, CRM, automations, remarketing, and review tools. All subscriptions are month-to-month and auto-renew until canceled.
Your rate is locked for 12 months from enrollment. After that, pricing changes require 30 days' written notice.

You maintain a digital wallet for usage charges with automatic top-ups. If a payment fails, we retry up to 4 times over three weeks. Accounts may be suspended after 48 hours of non-payment. Trials and promotions do not modify these terms.
1. Program Description
This messaging program sends onboarding updates, appointment confirmations, service communications, product updates, tips, promotional offers, and customer support messages to clients who have subscribed to Slate Systems through our website at slatesystems.io and have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms with dedicated consent checkboxes for non-marketing and marketing messages.
2. Cancellation Instructions
You can cancel the SMS service at any time. Simply text "STOP" to the same number that sent you messages. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

4. Carrier Liability
Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier.
5. Message and Data Rates
Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your service usage and account activity. Consent to receive SMS messages is not a condition of purchase. For questions about your text plan or data plan, contact your wireless provider.
6. Supported Carriers
Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, and most regional carriers.
7. Age Restriction
You must be 18 years or older to participate in our SMS program.

All messaging requires prior consent from the recipient. We handle: A2P 10DLC brand/campaign registration, compliant opt-in/opt-out mechanisms, and TCPA-compliant infrastructure. You handle: Ensuring contact consent is documented, never importing purchased or scraped lists, honoring opt-outs from outside the platform, and keeping your business information accurate.
We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications. Your use of messaging services is also governed by our Privacy Policy.
All websites, templates, automations, workflows, and platform customizations built by Slate Systems remain our exclusive property. You receive a non-exclusive, revocable license to use them while your subscription is active.
Content you provide (logos, photos, descriptions) remains yours. We use it only to deliver your services. Websites are hosted on our platform and cannot be exported or transferred. Upon cancellation, all access is revoked.
Your business data (contacts, leads, conversations, reviews) belongs to you. We act as a service provider, not an owner.
All payments are final and non-refundable, including subscription fees and usage charges. Our services involve custom-built assets initiated immediately upon enrollment.
You agree not to initiate chargebacks for services rendered. If a fraudulent chargeback is filed, we reserve the right to pursue recovery of the disputed amount plus legal and administrative fees.

We may suspend or terminate any account, with or without notice, for violations, abusive conduct toward staff, non-compliance with messaging regulations, repeated payment failures, or any activity posing legal or operational risk. No refund is issued for policy-violation terminations.
You must be at least 18 years of age to use our services or enter into this Agreement.
No guaranteed results. We provide automation tools, not business outcomes. Results depend on your industry, location, responsiveness, and market conditions.
All services are provided "as-is" without warranty of any kind. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted service or message delivery.
Our services rely on third-party platforms (telephony, carriers, Stripe, Google, cloud hosting) that we do not control. We are not liable for their outages or changes. If a third-party platform we depend on discontinues service, materially changes its terms, or becomes unavailable, Slate Systems reserves the right to modify, suspend, or transition services to an equivalent platform without liability. We will provide reasonable notice and make commercially reasonable efforts to minimize disruption, but are not obligated to maintain any specific third-party integration.
Force Majeure. Slate Systems is not liable for any failure or delay caused by acts of God, pandemic, government action, internet or carrier outages, third-party platform failures (including but not limited to GoHighLevel, Twilio, Stripe, Google), labor disputes, cyberattacks, or any other cause beyond Slate's reasonable control. Performance of any obligation under this Agreement is excused for the duration of any such event.
To the maximum extent permitted by law, Slate Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability per claim shall not exceed the amount you paid in the three (3) months before the claim. We are not liable for failures caused by events beyond our reasonable control.
Aggregate Liability Cap. Notwithstanding any other provision of this Agreement, Slate Systems' total aggregate liability across ALL claims, by ALL clients, arising in any rolling twelve (12) month period shall not exceed fifty thousand U.S. dollars ($50,000). This aggregate cap is the absolute ceiling on Slate's exposure regardless of the number of claimants, the form of claim, or the legal theory pleaded.
Sole and Exclusive Remedy. The remedies set forth in this Section 9 are Client's SOLE AND EXCLUSIVE REMEDIES against Slate Systems. Client expressly waives all other remedies available at law or in equity, including but not limited to specific performance, injunctive relief against Slate's operations, rescission of this Agreement, restitution beyond fees paid, or any equitable relief that would compel Slate to take or refrain from any action.
You agree to indemnify and hold harmless Slate Systems Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees and court costs) arising from: your use of the platform; TCPA, CAN-SPAM, or other messaging law violations attributable to contacts you introduced or messages you authored; content you sent through the platform; defamation, libel, or slander claims arising from communications you originated; violations of this Agreement; misrepresentation of your business identity, credentials, or services at signup or thereafter; importation of contacts without documented consent; integration of third-party tools by Client; and any act or omission by Client or Client's personnel that gives rise to a claim against Slate.
Survival. Client's indemnification obligations under this Section 10 survive termination of this Agreement for a period of three (3) years from the date of termination. After that period, indemnification obligations expire as to events occurring before termination, except for claims already filed or actively pending.
Disputes must first be raised at [email protected] for informal resolution. If unresolved within 30 days, disputes go to binding arbitration through the American Arbitration Association (AAA) in the State of Wyoming. The arbitrator's decision is final. Either party may use small claims court in Wyoming for qualifying claims.
All disputes are resolved on an individual basis only. You waive any right to class action lawsuits, class arbitration, or representative proceedings.
Statute of Limitations. Any claim or cause of action arising under or relating to this Agreement must be brought within ONE (1) YEAR of the event giving rise to the claim, regardless of any longer statutory limitation period otherwise available. Claims not brought within this 1-year window are permanently barred. This contractual limitation period applies notwithstanding any law to the contrary, to the maximum extent permitted by Wyoming law.
This Agreement is governed by Wyoming law. Any legal proceedings not subject to arbitration shall be brought in Wyoming courts.
We may modify these terms, service features, or pricing at any time with at least 30 days' notice (subject to the 12-month price lock). Continued use after changes constitutes acceptance. You may cancel if you disagree.
Services are considered delivered when your website is built, your platform and automations are set up, and onboarding support has been provided.
Each party agrees to protect the other's non-public information ("Confidential Information") and not disclose it to any third party except as needed to perform under this Agreement or as required by law, court order, or regulatory request.
Slate's Confidential Information includes (without limitation) platform configurations, workflow templates, prompt logic, pricing structure, business methodologies, internal processes, vendor relationships, agent prompts, and customer lists.
Client's Confidential Information includes (without limitation) their customer data, contact lists, conversation history, and proprietary business information stored in or transmitted through the platform.
This Section 15 survives termination of this Agreement and continues for as long as the Confidential Information retains commercial value.
Slate Systems may from time to time offer features designated as "beta," "preview," "experimental," or similar. These features are provided AS-IS without any warranty, service-level commitment, or fitness guarantee. Slate may modify, suspend, or discontinue beta features at any time without notice and without liability. Client uses such features at their own risk and acknowledges that beta features may produce unexpected behavior or interact differently with production features. Nothing in this Section limits Slate's rights or remedies under any other provision of this Agreement.
